Terms of Service
The agreement between you and EternalEngine. We wrote it to be read — every section opens with a plain-English summary of what it actually means.
01 Who We Are & Acceptance
Plain English · By creating an account or using EternalEngine, you're agreeing to these terms. If you're signing up for your company, you're agreeing on its behalf.
EternalEngine ("EternalEngine," "we," "our," or "us") operates the EternalEngine platform, websites, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.
02 The Service
Plain English · EternalEngine is one platform with seventeen business apps, an in-app store, and optional add-ons. What you get depends on your plan.
EternalEngine is the operating system for service businesses: a multi-tenant web platform whose launch catalog includes seventeen apps, accessed through one dashboard:
- ScrollForge — the in-app store and app launcher
- ClientForge — CRM: accounts, contacts, deals, leads, pipelines, custom fields, workflows, email sequences
- ThreadRealm — community forums: boards, threads, comments, polls, reactions, direct messages, events, moderation
- PostFrame — transactional and marketing email delivery: SPF/DKIM/DMARC verification, tracking, templates, webhooks
- PayGate — in-app payment processing, powered by Stripe Connect (see Section 07)
- BookSlot — appointment scheduling: Google and Outlook calendar sync, customer booking pages, recurring appointments
- BidForge — estimates and proposals: line items, takeoffs, reusable templates, digital signing
- ProjectPath — projects, tasks with checklists, daily logs, inspections, time tracking
- AssetVault — cloud file storage: folders, version history, tagging, multipart uploads
- TitanLedger — invoicing, payments, expenses, and multi-currency books
- NeuralGrid — AI command center: multi-provider gateway, prompt registry, agent runtime, per-feature token tracking
- WikiShelf — branded document hub: Handlebars document templates, Chromium-rendered PDF generation, per-tenant branding, and a foldered file library with name and folder search
- NotifyStack — multi-channel notification orchestration: email, push, in-app, SMS, and webhooks from one template and routing engine
- CrewGrid — field service dispatch: work orders, GPS routing, mobile crew app, on-site capture, recurring service plans
- StockShelf — inventory management: multi-warehouse and bin stock tracking, purchase and sales orders, stocktakes, an immutable transaction ledger, and FIFO/LIFO/average-cost valuation reporting
- SignSeal — digital signatures: multi-signer envelopes routed in order, reusable templates, and an ESIGN/eIDAS-aligned, legally-sound audit trail capturing IP and timestamp on every action
- FlowRelay — workflow automation: trigger-and-action recipes with conditional branches and first-class connectors for every EternalEngine app
The apps and features available to you depend on your subscription plan (Free, Basic, Team, Pro, Business, or Enterprise) and any add-on services on your account. Additional apps roll out from the Coming Soon catalog as they reach launch readiness. We may modify, add, or retire features with reasonable notice; where a feature you pay for is materially removed, we will offer a fair remedy such as a pro-rated credit.
03 Early Access
Plain English · The platform is new and evolving fast. Displayed prices are the prices published on our pricing page when you subscribe — we'll tell you before anything changes on your bill.
The Service is currently offered in early access. Features ship frequently, interfaces may change, and some capabilities are marked "Coming Soon" and are not yet available. Subscription and add-on prices are the prices published at eternalengineos.io/pricing when you subscribe.
If we ever change the price of a plan you are on, we will notify you in advance and the new pricing will take effect at your next billing cycle — never retroactively. Early-access feedback you submit may be used to improve the Service (see Section 10 on feedback).
04 Your Account
Plain English · Keep your login safe, keep your details accurate, and tell us right away if something looks wrong.
To use the Service you must create an account. You agree to:
- Provide accurate, complete registration and billing information and keep it current
- Keep your credentials confidential and not share accounts between people
- Be responsible for all activity under your account and your team's seats
- Notify us immediately at info@eternalengineos.io of any unauthorized use or security concern
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter contracts to use the Service.
05 Plans, Billing & Cancellation
Plain English · Four paid tiers from $9.95/mo (and Enterprise by agreement), month-to-month or annual (20% off). No contracts, no setup fees. Upgrades are prorated — you only ever pay the difference. Cancel or downgrade anytime and keep what you paid for until the period ends.
The Service is offered on a Free plan and four paid subscription plans — Basic, Team, Pro, and Business — billed monthly or annually (annual billing saves 20%), plus a custom Enterprise plan available by agreement. Current pricing, seat counts, app entitlements, and usage caps are described on thepricing page, which is incorporated into these Terms. Prices shown do not include applicable taxes, which are added where required.
- No lock-in. There are no long-term contracts, setup fees, or cancellation fees.
- Changes. You can upgrade, downgrade, or cancel at any time from account settings. Upgrades take effect immediately and you are charged only the prorated difference for the remainder of the period. Downgrades and cancellation take effect at the end of the current billing period; you keep your current plan's features until then and are never charged for a downgrade.
- Renewal. Subscriptions renew automatically each period until cancelled.
- Refunds. Except where required by law or expressly stated, payments are non-refundable; cancelling stops future charges rather than refunding past ones. If we materially fail to deliver the Service, contact us and we will make it right.
- Non-payment. If payment fails we will retry and notify you. Continued non-payment may lead to suspension and, eventually, termination under Section 13.
- Your data after cancellation is preserved per Section 13 — you can come back, or export it.
06 Add-On Services
Plain English · Add-ons stack on top of any plan: PostFrame email volume, PayGate fee tiers, and one-time AI credit top-ups. They're billed separately and need an active base account.
Optional add-on services may be purchased on top of any active subscription and are billed separately from your base plan:
- PostFrame volume tiers — raise your monthly email-send capacity, sending domains, and email features beyond your plan's included cap.
- PayGate tiers — PayGate's Free tier is included; optional paid tiers lower per-transaction fees and raise volume caps, as described on the pricing page.
- AI Credit Top-Ups — one-time purchases that add tokens to your AI credit balance. Top-ups are applied instantly, never expire, carry over month to month, survive plan changes, and are non-refundable once applied. Your plan’s monthly allowance is consumed first; purchased credits are consumed only after it runs out.
Add-ons require an active EternalEngine account in good standing. Cancelling your base subscription cancels dependent add-ons at the same time. Some add-ons published in the catalog are marked Coming Soon and cannot be purchased until released.
07 Payments & PayGate
Plain English · Payments run through Stripe — your card details go to Stripe, not our servers. If you accept payments from your customers through PayGate, Stripe's connected-account terms apply to you too.
Subscription billing and PayGate payment processing are provided through Stripe. Card details are collected and stored by Stripe under its own terms and certifications; full card numbers are never stored on EternalEngine servers.
If you enable PayGate to accept payments from your own customers, you are also entering Stripe'sConnected Account Agreement(incorporating the Stripe Terms of Service). You are responsible for the legality of your own transactions, accurate descriptions of your goods and services, your refund policy toward your customers, and any chargebacks or disputes arising from your sales. PayGate transaction fees are disclosed on the pricing page and deducted per transaction.
We may suspend PayGate functionality where required by Stripe, by law, or to prevent fraud, and prohibited-business categories defined by Stripe apply.
08 Email Sending Rules (PostFrame)
Plain English · Only email people who agreed to hear from you. Honor unsubscribes. Spam gets accounts suspended — it poisons deliverability for everyone.
When sending email through PostFrame, you agree that:
- You have a lawful basis (such as consent or an existing business relationship) for every recipient, and you comply with applicable email laws — including CAN-SPAM, GDPR/ePrivacy, and CASL — for your audience.
- Marketing email includes a working unsubscribe mechanism; PostFrame's suppression lists (unsubscribes, bounces, complaints) are enforced automatically and must not be circumvented.
- You will not send unsolicited bulk email, purchased lists, deceptive subject lines or headers, malware, phishing, or content that is illegal where you or your recipients are located.
- Sending identity must be truthful — you may only send from domains you control and have verified (SPF/DKIM/DMARC).
To protect platform deliverability we may throttle, quarantine, or suspend sending that exhibits abuse signals (e.g., elevated bounce or complaint rates), and will notify you when we do.
09 AI Features
Plain English · Every plan includes the AI assistant with a monthly token cap. AI output can be wrong — review it before you rely on it.
Every paid plan includes the AI assistant with a per-tier monthly token cap described on the pricing page. Caps reset at the start of each billing cycle (monthly, including for annual subscribers). By using AI features you acknowledge that:
- AI-generated content is probabilistic and may be inaccurate or incomplete — review it before using it in customer-facing, financial, legal, or other consequential contexts
- AI requests and relevant workspace context are processed by our model providers as described in the Privacy Policy; your content is not used to train their models
- AI Credit Top-Ups never expire and carry over between periods; they are non-refundable once applied
- We may adjust token caps or model providers with reasonable notice
10 Your Content & Intellectual Property
Plain English · Your data is yours — clients, files, invoices, everything. We only get the permission needed to run the service for you. The platform itself is ours.
Your Content. You retain all rights to the data and content you upload, create, or process through the Service — your client records, files, invoices, messages, templates, and forum posts. You grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely to provide, secure, and improve the Service. We do not sell Your Content or use it to train AI models.
AI output. Content the AI assistant generates for you within the Service is Your Content, to the extent permitted by law. You are responsible for reviewing it before use.
Our platform. The Service — including software, design, documentation, governance frameworks, and branding — is owned by EternalEngine LLC (an Ohio limited liability company) and protected by United States and international copyright, trademark, and other intellectual-property laws. The EternalEngine software is the subject of a copyright registration with the U.S. Copyright Office. "EternalEngine", "EternalEngine OS", and the product names used in the Service are trademarks of EternalEngine LLC. These Terms grant you a right to use the Service, not ownership of it, and no license to our trademarks.
Feedback. If you send us ideas or suggestions, we may use them without restriction or obligation — that's how early access makes the product better.
Responsibility. You are responsible for Your Content — including having the rights to upload it and its compliance with law. We may remove content that violates these Terms.
11 Acceptable Use
Plain English · Use the platform lawfully, don't try to break it or peek at other tenants' data, and be a decent human in the community spaces.
You agree not to:
- Use the Service for unlawful purposes or to store, transmit, or process illegal, infringing, or harmful content
- Probe, scan, or attempt to circumvent security measures, access controls, rate limits, or tenant-isolation mechanisms
- Access or attempt to access another tenant's data
- Reverse engineer, decompile, or copy the Service except where law permits
- Resell or white-label the Service except through features designed for that purpose on plans that include them
- Use automation that imposes unreasonable load or interferes with normal operation
- Harass, threaten, or abuse others in ThreadRealm or any community surface — we may moderate, remove content, and restrict community access to keep these spaces safe
Security research is welcome through coordinated disclosure — see ourSecurity page for how to report a vulnerability. Good-faith reports made through that channel are not a violation of this section.
12 Availability & Support
Plain English · We engineer for 99.9% uptime, but during early access we don't offer a contractual SLA yet. Support levels depend on your plan.
We operate the Service to a 99.9% monthly uptime target with monitoring, automated recovery, and tested backups. During early access this target is an engineering goal, not a contractual service-level agreement, and no service credits are offered. Planned maintenance is performed with notice where practical; see the status page for current availability reporting.

13 Termination
Plain English · Leave whenever you like — you get 90 days to export your data. We can suspend accounts that break the rules, with notice where possible.
By you. You may cancel at any time from account settings or by contacting us. Access continues through the end of the paid period; afterwards your workspace is deactivated.
By us. We may suspend or terminate access if you materially violate these Terms, if required by law, or to protect the security or integrity of the Service or other tenants. Where practical we will notify you and give you a chance to cure the issue first.
Your data. After termination we retain your data for up to 90 days so you can export it (CSV export is built in; we will assist with larger exports on request). After that window it is permanently deleted per our Privacy Policy and retention schedules. Sections of these Terms that by their nature should survive termination (including 10, 14, 15, and 17) survive.
14 Disclaimers & Limitation of Liability
Plain English · The standard part every software contract has: the service is provided as-is, and our financial liability is capped at what you paid us in the last 12 months.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETERNALENGINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
15 Indemnification
Plain English · If your use of the platform gets us sued — for example, your content infringes someone's rights — you cover the costs.
You agree to indemnify, defend, and hold harmless EternalEngine and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service in violation of these Terms or law, or your infringement of third-party rights.
16 Changes to These Terms
Plain English · If we change anything important, you'll hear about it before it takes effect — by email or in the app.
We may update these Terms as the Service evolves. For material changes we will give at least 14 days' notice through the Service or by email before the changes take effect, and we will update the "Effective" date above. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, cancel before the changes take effect.
17 Governing Law & Disputes
Plain English · Talk to us first — most issues are fixable with an email. Formal disputes go to binding arbitration.
Before filing any formal claim, you agree to contact us atinfo@eternalengineos.ioand give us 30 days to work toward an informal resolution.
These Terms are governed by the laws of the jurisdiction in which EternalEngine is organized, without regard to conflict-of-law rules. Disputes not resolved informally shall be settled by binding arbitration under the rules of the applicable arbitration association, on an individual basis. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
18 Entire Agreement & Severability
These Terms, together with the Privacy Policy, the pricing page, and any plan- or add-on-specific terms presented at purchase, are the entire agreement between you and EternalEngine regarding the Service and supersede all prior agreements.
If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets with notice to you.
